Terms of Service

Welcome to SOHpro. These Terms of Service ("Terms") govern your access to and use of the SOHpro website, mobile application, and related services (collectively, the "Service"), operated by SOHpro ("SOHpro", "we", "us", or "our"). By creating an account, uploading diagnostic data, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

SOHpro is an independent battery analytics service for electric vehicles. We ingest user-provided diagnostic data (including OBD scans, photos, PDFs, and CSV exports), process it with our proprietary SOHpro AI extraction pipeline, compute a composite battery health score (the "SOHpro Score"), and generate a shareable report. SOHpro is not affiliated with, endorsed by, or sponsored by any vehicle manufacturer, dealership, or authorized service center.

2. Informational Only — No Warranty or Certification

The SOHpro Score, reports, projections, warranty thresholds, and all other outputs of the Service are provided for informational purposes only. They are not a substitute for professional inspection, an official manufacturer diagnostic, or a certified appraisal. The Service does not constitute a warranty, guarantee, certification, or legal advice regarding battery condition, remaining useful life, vehicle value, warranty eligibility, or fitness for any particular purpose, including sale, purchase, insurance, or warranty claims. You are solely responsible for any decisions you make based on the Service. For warranty-related determinations, you must contact an authorized dealer or manufacturer.

3. Accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to provide accurate and current information and to notify us promptly of any unauthorized use of your account.

4. One-Time Passes

SOHpro is sold as VIN-locked one-time passes. A pass grants you access to generate reports for a specific vehicle identification number (VIN) on a one-time, non-recurring basis. There are no subscriptions. Passes are non-transferable between vehicles. Except where required by mandatory consumer-protection law in your country of residence, all sales are final and non-refundable once a report has been generated.

5. User Content and Data You Upload

You retain ownership of the diagnostic data, photos, and documents you upload ("User Content"). By uploading User Content, you represent and warrant that (a) you are the owner or lawful operator of the vehicle the data relates to, or you have the vehicle owner's explicit permission, (b) you have the legal right to upload and process the data, and (c) the data does not infringe any third-party rights. You grant SOHpro a worldwide, non-exclusive, royalty-free license to store, process, display, and transmit User Content solely to operate the Service and provide it to you. You also acknowledge that SOHpro processes derivatives of your uploaded data in two distinct regimes: (i) Anonymized aggregate research and public benchmarks — k-anonymity (k ≥ 5) at the point of publication, irreversibly anonymized as published aggregates that cannot be linked back to an individual vehicle (see Privacy Policy, Section 6); this regime is integral to the Service (it calibrates scoring and produces the benchmarks that make your report meaningful), is not a separate opt-in, and is processed on the legitimate-interest basis disclosed in Privacy Policy §6. (ii) Pseudonymized commercial use — with your explicit opt-in consent in Account Settings, your data may be included in pseudonymized datasets shared with commercial partners (insurers, banks, OEMs) under data-use agreements (see Privacy Policy, Section 18). This second regime is default-OFF, revocable at any time, and not required to use the Service. You retain the right to object to processing of your personal (non-pseudonymized) data and to withdraw the commercial-use consent at any time from your account settings, consistent with the Privacy Policy.

6. SOHpro AI Processing

User Content is processed by SOHpro AI, our extraction pipeline powered by third-party large language model providers under data-processing agreements that prohibit training on customer data. SOHpro AI extracts structured battery metrics (such as state-of-health, cell voltages, temperatures, and energy counters) from your uploads. AI extraction may produce errors, omissions, or misinterpretations; you are responsible for reviewing extracted values before relying on a report.

7. Trademarks and Manufacturer References

SOHpro is an independent service and is not affiliated with, endorsed by, or sponsored by any vehicle manufacturer. All manufacturer names, model names, logos, and trademarks are the property of their respective owners and are used solely for identification and descriptive purposes under applicable nominative or referential fair-use principles. Where the Service displays manufacturer warranty thresholds or published specifications, it does so as factual information sourced from publicly available documents; such information does not constitute a determination of your warranty eligibility. SOHpro retains all rights in its proprietary scoring formula and component weights, the EV passport product framework, the calibration dataset, partner co-signing logic, and brand assets including "SOHpro", "SOHpro Score", and "EV passport". Methodology published in the public Technical Guide is provided for transparency and audit; publication does not grant any license to reuse, adapt, or commercialize it in derivative products or services.

8. Prohibited Uses

You may not (a) upload data you do not have the right to upload, (b) attempt to reverse-engineer, decompile, or tamper with the Service, (c) use the Service to build a competing product, (d) resell reports or access without our written consent, (e) use the Service in any way that violates applicable law, (f) attempt to re-identify anonymized data, (g) perform automated extraction, scraping, or systematic enumeration of any data, scoring outputs, methodology content, report payloads, vehicle profiles, or public links, including via headless browsers, third-party tools, or repeated guessing of share tokens, hashes, or slugs, (h) use any output of the Service — including SOHpro Score values, EV passport content, methodology text, projection data, or anonymized benchmarks — to train, fine-tune, evaluate, or otherwise feed any machine-learning or generative-AI model, or (i) circumvent rate limits, watermarks, authentication, or access controls. Public report views are watermarked with a per-view code for fraud detection; using or distributing watermarked output identifies the source view, and SOHpro reserves the right to investigate and take action against misuse, including suspension or termination of access, civil claims, and reporting to authorities where applicable.

9. Limitation of Liability

To the maximum extent permitted by applicable law, SOHpro, its officers, employees, and suppliers shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for any loss of profits, data, goodwill, or vehicle value, arising out of or relating to your use of the Service. In jurisdictions that permit liability caps, our total aggregate liability for any claim relating to the Service shall not exceed the amount you paid to SOHpro for the pass that gave rise to the claim. Nothing in these Terms limits liability that cannot be limited under mandatory law, including the Brazilian Consumer Defense Code (Law 8.078/90) or equivalent consumer-protection laws in your country of residence.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability, except to the extent such warranties cannot be disclaimed under applicable law.

11. Governing Law and Jurisdiction

If you reside in the United States, these Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles, and any dispute shall be resolved exclusively in the state or federal courts located in Delaware. If you reside in Brazil, these Terms are governed by the laws of the Federative Republic of Brazil, and any dispute shall be resolved in the courts of the consumer's domicile in accordance with the Consumer Defense Code (Law 8.078/90). If you reside elsewhere in Latin America or another country, these Terms are governed by the mandatory consumer-protection laws of your country of residence, and disputes shall be resolved in the competent courts of that country.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by updating the "Last updated" date above and, where appropriate, by in-app notice or email. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
